The agreement between you and Meerkats AI governing your use of our Services

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Meerkats AI (“Company”, “we”, “us”) governing your access to and use of the Meerkats AI platform, APIs, documentation, and all associated services (collectively, the “Services”).
By creating an account, accessing the Services, or clicking “Start for free”, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
Meerkats AI provides a managed infrastructure platform for building, deploying, and operating AI agents. The platform includes:
We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with notice where practicable.
To access the Services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the accuracy of this information.
You are solely responsible for maintaining the confidentiality of your login credentials. You must immediately notify us of any unauthorized use of your account at security@meerkats.ai. We are not liable for any loss or damage arising from your failure to secure your account. You may not share your account with others or allow multiple individuals to access the Services under a single account (except as provided under Team or Enterprise plans).
You must be at least 18 years old to use the Services.
You may use the Services solely for lawful business and personal automation purposes consistent with these Terms and applicable law.

You are solely responsible for the configuration, behavior, and outputs of any AI agents you deploy through the Services. Meerkats AI provides the infrastructure; you define and control the actions your agents take.
Services are offered on subscription tiers as described on our Pricing page. We reserve the right to change pricing with 30 days’ notice.
Payments are processed by Stripe. By providing payment information, you authorize us to charge the applicable fees on a recurring basis. All fees are non-refundable except as expressly stated herein or required by law.
Certain features (e.g., AI model inference, compute minutes) may incur usage-based charges in addition to your base subscription.
If payment fails and remains outstanding after 7 days, we reserve the right to suspend or terminate your access.
Meerkats AI retains all right, title, and interest in the Services, including all software, interfaces, designs, documentation, trademarks, and underlying technology.
You retain ownership of Skills, configuration files, prompts, and content you create. You grant us a limited license to process and execute Your Content solely to provide the Services.
If you provide feedback, you grant us a perpetual, royalty-free right to use that feedback for any purpose.
Each party agrees to keep confidential any non-public information disclosed by the other party. This does not apply to information that is publicly known, was rightfully known prior to disclosure, is independently developed, or is required to be disclosed by law.
The Services integrate with third-party platforms (e.g., Stripe, Supabase, GitHub, Slack, Airtable, Google Calendar, Resend, Apify). We do not control third-party platforms and are not responsible for their availability or compliance.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT RESULTS WILL BE ACCURATE; THAT AI AGENT OUTPUTS WILL BE FREE FROM ERRORS OR HALLUCINATIONS; OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEERKATS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
Our total aggregate liability shall not exceed the greater of total fees paid in the twelve months preceding the claim, or USD $100.
You agree to indemnify and hold harmless Meerkats AI from claims arising out of your use of the Services, violation of these Terms, violation of third-party rights, agent behavior from your configurations, or Your Content.
You may terminate your account at any time via account settings or by contacting support@meerkats.ai.
We may suspend or terminate access immediately if you breach these Terms, if required by law, or if your use poses a risk.
Upon termination, your right to use the Services ceases. We may delete account data after 90 days.

Binding arbitration under American Arbitration Association rules in Delaware. You waive class-action rights.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meerkats AI regarding the Services and supersede all prior agreements.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
Force Majeure. We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, or internet disruptions.
Updates to Terms. We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 30 days before they take effect. Continued use of the Services after changes constitutes acceptance.
